Thank you all for your assistance to my question about shapefile creation
in ArcvView 8.2


Here is the answer ...

In ArcCatalog ...
1.Select folder. Then, from the file menu select "New/Personal Geodatabase."
Name new GeoDatabase (name.mdb)
2.Select feature class in ArcCatalog that you want to convert into shape
file.
3.Right click the feature class (from the dwg drawing represented in
ArcCatalog)select "export/CAD to GeoDatabase."
4.In "CAD to Geodatabase BOX" . . . Select existing CAD feature (i.e.
polygon) . . . In the "Output Geodatabase" browse to the mdb file just
created. Enter name of new class in the appropriate section and click OK.

At this point you have what you need to read in ArcMap, the geodatabase.

If a shapefile is desired, then:


To create a shapefile.
1.Open ArcTools and open "Geodatabase to Shapefile." Browse to the mdb file
under the "Enter the feature class or feature dataset to convert" and give
the shapefile a name under "Output shapefile."

2.Or, in ArcCatalog, right-click the feature class now located in the new
Geodatabase and choose "Geodatabase to Shapefile. Follow the instructions as
in 5.
