CompuWarp
A new product from NZ-based Compudigm is claimed to have the ability to
bring better quality image registration to desktop mapping systems.
Registration is the process of overlaying an image such as an aerial
photograph onto a map to enable it to be viewed concurrently with other
datasets.
The new product, CompuWarp, is given a bitmap and set of points on the
bitmap whose location on the map is known. It then creates a new bitmap that
has been stretched and twisted in the correct way to overlay onto the map.
The product is an advance on desktop mapping tools that uniformly rotate and
stretch the display of the original. This means that with any more than
three registration points, the fit at the points is only approximate.
CompuWarp creates a new image where all the registration points are placed
exactly.
CompuWarp is suitable for MapInfo and ESRI users, as it accepts the
registration points in MapInfo and ESRI format, and creates the new bitmap
complete with a MapInfo and ESRI registration file.
Compudigm says the product has a number of applications particularly
relevant to local government. It is already in use at Waimate District

Maybe try Photoworks. Its inexpensive and it works pretty well. There
are some image
size limitations however. Take a look below.

A usefull ArcView extension that can do that is "Orthorect", written by
Todd Jackson. Here's his descripton:

"Summary:
The OrthoRec extension allows a user to orient an aerial photograph, and
then create an orthophoto using a digital elevation model. The extension
also has a comphensive help document in HTML format. (See the README.TXT
files for information on installing the program and help files.)"

I believe that you need the Spatial Analyst extension for this tool to
work.
