hi vinod,
Export the autocad 'dwg' file to dxf format. Use "dxfarc" command in arc system interface to convert it to a coverage. Build the coverage using "build" command. When the coverage is formed a <coverage>.XCODE file is generated.
Using "joinitem" join the <coverage>.PAT with <coverage>.XCODE to retain all the attributes for the polygon.
