Hi,

Probably the reason might be any one of the below

a) You do not have the corresponding shape files related to the project
b) Shape file naming is not same as the name given in Prj file
c) You might have kept the PRJ files and Shape files in different =
directories

Solution could be

Open the .prj file in notepad and check the directory name and shape =
file names, then keep all the corresponding files in that directory. Now =
try to open the prj file again !!!
