If you are using ArcView there is free tool that works inside ArcView
available on the ESRI site.
It is called Shapewarp 2.2

I have used Shapewarp a number of times and it does a good job

Hello everyone,
I have received some shapefiles and one of the shapefiles (contour lines)
does not match the the ones. I have tried to adjust it using different
projections known to my AOI and I have been quite unsuccessful. My last hope
is to be able to use some kind of tool to warp this shapefile and make it
fit with the other ones. The initial objective is to display some 3-d
images. Eventually we will have to figure out more accurately the source of
the error, but for now we would like to adjust this one shapefile to the
other ones. Any suggestions or comments will be greatly appreciated
