Sayyed, Another thing you could try is downloading extensions from ESRI: Spatial Tools 3.4, and XTools
XTools allows you to create a graphic from a shapefile, and Spatial Tools allows you to clip a grid using that graphic. I've used these with ArcView 3.1, but imagine they or some similar version would work for 3.2
