I think it should be noted that this method and the method mentioned by
Margaret Gooding are to reassign a projection to a shapefile. For
example, you have a shapefile that says it is in UTM coordinates, but it
actually is in State Plane (apologies for the America-centric example).
Defining a projection comes in handy when you have the wrong projection
assigned to a shapefile, or none at all and need to assign one. If you
want to reproject (meaning change from one projection to another) a
shapefile, for example from Latitude and Longitude to UTM, then you
would want to use the project tool in ArcMap's toolbox. First, though,
you need to have the right projection defined for your shapefile. Maybe
I'm just getting myself bogged down in semantics, but reproject and
define are two different things.

Hope I didn't just muddle up a simple question.

You can delete the prj file. Then using ArcToolbox to redefine the
projection to the one you wish.
