A Davis,
gdal [1] will do most, if not all, of what you're asking for. FWTools [2] provides an easy gdal installation for windows and linux. However, I don't believe writing sids is included by default. I think it is possible to do if you have a sid license. I believe gdalwarp can be used for georeferencing with ground control points, but that's not something I've done.
