I the expensive extension 'Spatial Analyst' has the tools you require.
Even better though, so does the great (and free) script 'Hawths tools'.

Dear all,
I would like to calculate shares (%) of different land cover classes
(grid layer) within each "cell" of an overlay grid (raster or polygon).
Is anyone aware of a script or method to accomplish this task? I thought
I have seen a similar posting on this list, but unfortunately I am not
able to locate it. I am using ESRI products!
Appreciate your input and help.
