SMALLWORLD COMPLETES ACQUISITION OF NAVIGANT'S SPATIAL IT DIVISION -- Agreement Establishes Smallworld as One-Stop Provider of Network Solutions
Denver, CO (July 27, 2000) - CAMBRIDGE, England and DENVER, Colorado – (July 27, 2000) – Smallworldwide plc (Nasdaq: SWLDY), a leading provider of network software solutions, today announced it has completed its acquisition of the Spatial IT division of Navigant Consulting, Inc. (NYSE: NCI). Terms of the acquisition were not disclosed.

The acquisition broadens Smallworld’s reach in providing end-to-end network solutions to the communications, utility and public systems markets and positions it as a one-stop network solutions software product, implementation services and training company. The acquisition also will allow Smallworld to realize more revenue and improved margins from larger customers, which have begun to require Smallworld to provide implementation services. Bolstering its services resources will further enable Smallworld to more rapidly deploy software and shorten the network solution implementation cycle for its customers.

“Navigant’s Spatial IT division complements our software products and ensures Smallworld’s immediate access to business services skills that would have taken us longer to develop internally,” said C. Warren Ferguson, CEO of Smallworld. “This acquisition further demonstrates our commitment to shift our focus from a specialty technology company to an IT solution provider. Navigant’s implementation services will provide Smallworld clients with superior network solutions software, implementation services and training.”

By adding more than 90 Navigant consultants, engineers, and software developers, Smallworld will double its implementation services capacity, especially for its Communications division, the company’s fastest growing line of business. The acquisition also will give Smallworld greater control in managing and streamlining implementation of the company’s outage and distribution management products for utilities.

In addition to acquiring Navigant’s expansive list of Smallworld-compatible specialty products, Smallworld will inherit a strong group of Navigant’s complementary vendor relationships, including IBM, Vitria Technology, Indus, Oracle, and Itron.

A long-time Smallworld World Class Partner, Navigant's Spatial IT operating unit has worked with Smallworld on a variety of projects. The addition of Navigant’s spatial IT specialists – highly skilled in Smallworld implementations and technologies – is expected to accelerate Smallworld’s innovative Internet and application service provider offerings, as well as even further reducing the implementation time on its current systems.

In May, Navigant Consulting announced that it would be evaluating its strategic alternatives. Smallworld’s acquisition of its Spatial IT Solutions unit, which is not a core business for Navigant, is a reflection of that strategy.
