Vexcel Corporation and Atlantis Scientific Announce Merger


Boulder, CO-Vexcel Corporation of Boulder, Colorado and Atlantis Scientific of Ottawa, Canada today announced that they have completed a merger transaction between the two corporations. The companies are pleased to combine Vexcel's 15 years of experience in synthetic aperture radar (SAR) processing, SAR interferometry, digital elevation model (DEM) creation, surface change mapping, and image processing and analysis, to Atlantis' 19 years of experience in these areas. The strategic joining of the tremendous radar expertise of these two organizations into one, will speed the advance of SAR processing technology and benefit the companies' clients around the world. The financial terms of the transaction were not disclosed.

Vexcel is today recognized internationally as a leading supplier of remote sensing data processing systems, with special emphasis on SAR. The company's heritage includes providing support to major national SAR missions and initiatives, including the Shuttle Radar Topography Mission (SRTM), Discoverer II, and LightSAR. Vexcel is currently [continued] under exclusive contract to provide the ground processing system for Japan's PALSAR satellite. Over the last three years, Vexcel has been providing 3D urban mapping services for broadband technologies in Canada. With data for 13 major Canadian cities and other U.S. and international locations currently available, Vexcel is a leader in producing information-rich 3D building and terrain databases for the wireless telecommunications industry.

Atlantis Scientific is an internationally recognized supplier of software products and services focusing on synthetic aperture radar technologies. Its EarthView? line of software is the leading commercial desktop SAR software available in the market today and can be found in many countries around the world. "This is a great opportunity for both companies and our customers. Vexcel adds a tremendous amount of prestige to the Atlantis resume. I do not know of another company that has the depth and breadth of SAR expertise our new company brings to the market," says Pat McConnell, President of Atlantis. "The relationship with Vexcel will create a force that will empower the customer and generate growth in our market."

Under the terms of the transaction, Vexcel Corporation will acquire all of the shares of Atlantis Scientific. The Atlantis main office and engineering facilities will remain at their current location near Ottawa, Canada and will add Vexcel's remote sensing ground stations and urban mapping products and services to its offerings. The companies expect that Vexcel's financial and marketing strength will better support the continued development and selling of Atlantis' advanced products and services. The companies plan to seek maximum efficiencies in their operations via a reorganization with Vexcel CEO John Curlander as the Chairman CEO of the combined entities. Atlantis Scientific Inc. will continue to operate as a Canadian company incorporated under the laws of Ontario.
